Vyapari Saathi AI — Business Terms of Service

You, and the business you are authorised to represent (“you”, “your” or “Company”), agree to these Business Terms of Service together with all other applicable terms and policies (collectively, “Business Terms”) by downloading, accessing or using Vyapari Saathi AI — including its voice assistant, product and property catalogue, promotion and marketing tools, QR codes, lead and sales tracking, AI content generation, and related software, features, services and APIs (“Business Services”).

AUERON CORTEX PRIVATE LIMITED is the contracting entity providing the Business Services (“Aueron Cortex”, “we”, “us” or “our”). The Business Services are provided solely for your business or commercial use.

Beta notice: Vyapari Saathi AI is offered as a Beta product. Features may change, be interrupted or be withdrawn, and outputs generated by AI (descriptions, captions, taglines, hashtags, videos, visiting cards, translations) may be inaccurate. You are responsible for reviewing AI-generated content before publishing or sending it.

IMPORTANT NOTICE — NO ACCESS TO EMERGENCY SERVICES: The Business Services do not provide access to emergency services or emergency service providers, including police, fire services or hospitals, and do not connect to public safety answering points. You must be able to reach emergency services through mobile, fixed-line or other traditional telecommunications services.

• Aueron Cortex Messaging Guidelines (WhatsApp, SMS and social channels)
• Aueron Cortex Business Data Processing Terms
• Aueron Cortex Acceptable Content & AI Use Policy
• Aueron Cortex Intellectual Property Policy
• Aueron Cortex Brand Guidelines

Where any additional term or policy conflicts with these Business Terms, the additional term or policy will govern.

You represent and warrant that you:

• will use the Business Services solely for lawful business, commercial and authorised purposes, and not for personal use;
• will provide registration information associated only with your Company;
• are authorised to accept these Business Terms and are at least 18 years old (or the age of majority where you reside); and
• have not previously been suspended or removed from the Business Services, or engaged in activity that could result in suspension or removal.

You must create a business account with accurate, current and complete information, including a valid business phone number, business name, business category and, where used, shop address, location and social channel links. You will keep this information updated. Your business name must not (a) be false, misleading, deceptive or defamatory; (b) parody a third party or include character symbols, excessive punctuation or trademark designations; or (c) infringe any trademark, violate any right of publicity, or otherwise violate anyone’s rights. Aueron Cortex Private Limited may reclaim account names or shop links on behalf of any business or individual holding a legal claim to them.

Subject to your compliance with these Business Terms, Aueron Cortex Private Limited grants you a limited, revocable, non-exclusive, non-sublicensable and non-transferable licence to access and use the Business Services for your own business communications and operations.

You will not, and will not permit or assist others to:

• reverse engineer, alter, modify, create derivative works from, or extract code from the Business Services;
• sell, resell, rent, lease or charge for the Business Services without our prior written authorisation;
• use the Business Services in any automated or unauthorised manner, including bulk or unsolicited messaging outside authorised channels, scraping, or spamming;
• distribute viruses or harmful code through or into the Business Services;
• upload, generate or publish content that is unlawful, obscene, misleading, infringing, or that promotes prohibited or restricted goods and services, including through product photos, uploaded videos or AI prompts;
• impersonate any person or entity, or misrepresent affiliation with Aueron Cortex Private Limited or any third party.

You retain ownership of the content you upload (photos, videos, catalogue and customer data) and grant us the licence needed to host, process, generate from and deliver it in order to provide the Business Services.

By using the Business Services you agree that contact information, catalogue data, messaging metadata, campaign, QR and lead-tracking events, and other business data are processed in accordance with the Aueron Cortex Business Data Processing Terms and applicable data protection laws, including the Digital Personal Data Protection Act, 2023.

You are the person responsible for your customers’ data. You must obtain all necessary consents, notices and permissions from your customers and enquiry contacts before adding them to the platform or sending promotions, follow-ups or transactional messages through the Business Services.

Some Business Services may be free during Beta and others may be offered for a fee, on a subscription, or under a separate commercial contract. You agree to pay all applicable fees, taxes and charges for your account in accordance with the payment terms shown at enrolment or in an executed order form. Third-party charges — such as messaging, telecom, social platform or payment gateway charges — remain your responsibility.

Aueron Cortex Private Limited may suspend or terminate your access to the Business Services at any time, with or without notice, if you breach these Business Terms or applicable law, or if your use creates risk or legal exposure for us, our users or our partners. You may stop using the Business Services at any time and request deletion of your business account data.

You agree to defend, indemnify and hold harmless Aueron Cortex Private Limited, its affiliates, directors, officers, employees and agents from and against all liabilities, damages, losses and expenses (including reasonable legal fees) arising out of or in connection with your use of the Business Services, your content, your messages to customers, your breach of these terms, or your violation of third-party rights.

To the maximum extent permitted by law, and given the Beta nature of the Business Services, Aueron Cortex Private Limited will not be liable for any indirect, incidental, consequential, special or punitive damages, or for any loss of profits, revenue, data or business opportunity arising out of or related to the use of, or inability to use, the Business Services. The Business Services are provided “as is” and “as available”.

These Business Terms, and any dispute or claim arising out of or in connection with them, are governed by the laws of India, without regard to conflict of law principles. Any suit, action or proceeding is subject to the exclusive jurisdiction of the competent courts in India.
